Foreign Investment Law in Vietnam

4 Credits,  Semester 1

Course Description:
Students will act as lawyers advising an international investor in a mock transaction in Vietnam. They must identify the legal risks for the investor in this developing environment and advise ways to mitigate such risks. Students will draft contractual documents, analyse legal issues, give advice, negotiate with Vietnamese partners and bring the deal to closure. Through this, students are expected to form an overview of the Vietnamese system and, particularly, the risks for an international investor and ways to mitigate such risks. Focus will be on investment law, administrative law, conflict of laws, corporate law, contract law and arbitrations.

Contact Hours: 9 session over 3 weeks: Three, 3hrs continuous weekly seminars

Mode of Assessment: Research Paper - 50% [Due: Mon, 12 Oct 09, (10am)]; Class Participation - 50%

Preclusions: Not open to students with a law degree from a Vietnamese University. Not open to students who have done Commercial Law In Vietnam [LL4118/LL5118/LL6118] in AY06/07.

Prerequisites: NUS Compulsory Core Law Curriculum or equivalent.
