Corporate Governance in Singapore Last Updated Date: 9 June 2009 4 Credits, Semester 1 Course Description: This course aims to strike a balance between theory and practice by providing an overview of what a legal practitioner would be required to know and apply in the course of his/her legal practice. This module will examine the models and concepts of international corporate governance, draw comparative perspectives from Australia, China, the UK and US, with an emphasis on indepth study of corporate governance laws and regulatory issues in Singapore faced by listed companies in Singapore, such as directors' duties in an initial public offering and a takeover, the issues directors face in the conduct of actual board meetings and in the running of the company, duties and responsibilities of management and officers of the company, continuing listing obligations, insider trading and securities frauds, the whistleblowing regime, corporate ethics and shareholder activism. Further, this course aims to equip students with the necessary application tools of legal knowledge and a headstart in legal practice through discussions of local case studies and workshops on real case examples on drafting legal advice to corporate clients on corporate governance issues including the skill of framing and drafting related legal advice and disclosure announcements for Singapore Listed Companies. A special feature of the course is a panel comprising senior and leading lawyers, bankers and accountants will be invited for an interactive discussion with the class on current issues and practical experiences at least twice during the course.
