Corporate Finance Law and Practice in Singapore

4 Credits,  Semester 2

Course Description:
This course will equip students keen to develop professional skills in corporate fund raising, structuring deals and managing complex transactions. Students will learn (1) how companies can raise business finance (via equity, debt, quasi and hybrid securities) and diversify their financial risk, (2) the statutory provisions governing the capital market, (3) legal and practical issues arising from IPOs, bond issues, loan syndications, securitisations, take overs & mergers and acquisitions. Students will have the benefit of attending panelist discussions by experts in the financing, investment banking, valuation, public relations fields as relevant to each topic.

Contact Hours: 3-hr continuous weekly seminar

Workload: 3 hours

Mode of Assessment: Exam - 50%; Essay - 30%; Class Performance - 20%

Preclusions: Students doing or have done International Corporate Finance [LL4409/LL5409/LLD5409/LL6409]; Corporate Law & Finance [LL4188/LL5188/LL6188] & Securities Regulation [LL4055/LL5055/LL6055] are precluded.

Prerequisites: NUS Compulsory Core Law Curriculum or equivalent. Students who have studied Company Law will have a significant advantage over those who have not.
