Corporate Law and Finance

Course Description:
The elective course concentrates on the legal aspects of corporate finance issues, i.e. raising of funds by a company from the domestic and international markets. Major topics covered include equity financing through listing on recognised exchanges and rights' issue and debt financing such as syndication loans and bond issues.

Workload: 3 hours

Mode of Assessment: Exam - 30%; Group presentation - 25%; Individual Class Test - 20%; Individual IVLE Discussion Forum participation - 15%; Individual class participation - 10%

Preclusions: Students doing or have done International Corporate Finance [LL4409/LL5409/LLD5409/LL6409]; Corporate Finance Law and Practice in Singapore [LL4182/LL5182/LLD5182/LL6182] & Securities Regulation [LL4055/LL5055/LL6055] are precluded.

Prerequisites: NUS Compulsory Core Law Curriculum or equivalent.
