Description
This workshop, titled ‘An Introduction to the Basics of Singapore Corporate Law’, is organised by students from the Faculty of Law, National University of Singapore, and consists of one online session and two on-site sessions at the School of Law, Peking University. All Chinese law students are invited to attend.
The second session focuses on the remedies available to shareholders when the company is being maladministered by its directors, or when their interests have been prejudiced. In particular, the session will examine the legal requirements needed before one of the three main statutory remedies become engaged: (1) statutory derivative action; (2) minority oppression; and (3) just and equitable winding-up.
The third session will introduce participants to the schemes of arrangement, the main restructuring regime which insolvent and soon-to-be insolvent companies can avail themselves of. It will explain the key stages involved: (1) applying for a moratorium; (2) convening the creditors’ meeting(s); (3) holding the creditors’ meeting(s); and (4) obtaining the court’s sanction of the scheme. This session will then conclude with a sharing on Singapore’s cross-border insolvency regime, examining how Singapore’s courts deal with financially distressed companies that have business operations and assets in multiple jurisdictions.
Certificates of participation will be awarded to those who attend at least two out of three sessions in this workshop.
