Description

The Centre for Asian Legal Studies – Universitas Gadjah Mada Fakultus Hukum Peer Learning Initiative (CAUPLI) will be conducting three in-person sharing sessions at Universitas Gadjah Mada in Indonesia. The sharing sessions are collectively titled ‘An Introduction to the Basics of Singapore Company Law’ and strives to foster a deeper sense of understanding and appreciation amongst Indonesian law students in the Special Region of Yogyakarta in Indonesia for Singapore’s legal system and laws.

Session 1 (1000H – 1200H, all timings in GMT +7)
Introduces students to Singapore’s legal system, consequences of incorporation, and rules governing corporate attribution (how acts of individuals can be attributed to the company).

Session 2 (1300H – 1500H)
Introduces students to directors duties and the statutory derivative action found in section 216A of the Companies Act 1967.

Session 3 (1600H – 1800H)
Introduces students to other shareholders remedies such as minority oppression and just and equitable winding up. A brief introduction to Singapore’s corporate insolvency law (mainly under the Insolvency, Restructuring and Dissolution Act 2018) will also be given.
