LAUNCH: Centre for Asian Legal Studies – Universitas Gadjah Mada Fakultus Hukum Peer Learning Initiative (CAUPLI)

The Centre of Asian Legal Studies, NUS Law (CALS) and Universitas Gadjah Mada Fakultas Hukum (UGM Law) are delighted to announce the Centre for Asian Legal Studies – Universitas Gadjah Mada Fakultas Hukum Peer Learning Initiative (CAUPLI), a student-led project that seeks to encourage and facilitate academic collaboration and knowledge sharing between students of both faculties.

CAUPLI is the second peer learning initiative launched under the CALS Peer Learning Initiative (CAPLI) and follows closely from three successful runs of the Centre for Asian Legal Studies – Thammasat University Faculty of Law Peer Learning Initiative (CATPLI). This marks another significant step in CALS’ broader efforts to foster cross-border collaborations between NUS Law students and its partner institutions in the ASEAN region to provide students with unparalleled opportunities to deepen their understanding of the law.

Associate Professor Jaclyn Neo, CALS’ Director, notes that CAUPLI has been almost one year in the making and comes on the back of the success CALS has had with CATPLI. In particular, Prof Neo observed how CATPLI had enabled NUS Law students to develop a deeper appreciation of Thailand’s civil law system, and to develop crucial out-of-class soft skills such as the ability to communicate and interact effectively with their counterparts who reason the law differently. She expressed her hope that CAUPLI would serve a similar function.

CAUPLI’s inaugural series of sharing sessions, conducted by NUS Law students and collectively titled “An Introduction to the Basics of Singapore Company Law”, aims to introduce UGM Law students to the basic principles of Singapore’s company law. At the same time, it provides NUS Law students with an opportunity to strengthen their understanding of these concepts.

There will be three sharing sessions conducted in-person at UGM on 28 September 2024. These in-person sessions will cover:

  1. Introduction to the Common Law and the Singapore Legal System
  2. Incorporation and its Consequences
  3. Corporate Attribution
  4. Directors Duties
  5. Statutory Derivative Action
  6. Minority Oppression
  7. Just and Equitable Winding-up
  8. Corporate Insolvency

Additionally, UGM Law students will be conducting a reciprocal workshop, that consists of three online sessions conducted across three weeks, on 7, 14 and 21 September 2024 respectively. Titled “An Introduction to the Basics of Indonesian Company Law”, this workshop is an excellent opportunity for Singapore law and pre-law students to learn about the various aspects of Indonesian company law.

These sessions will cover:

  1. Introduction to Civil Law and the Indonesia Legal System
  2. Limited Liability Companies
  3. Shareholders’ Liability by Piercing the Corporate Veil
  4. Two-Tier Structure of the Board System
  5. Duties of Directors and Commissioners
  6. Shareholders’ Legal Protection
  7. Dissolution of Companies
  8. Corporate Bankruptcy

Given the structural differences between Indonesia’s civil law system and Singapore’s common law system, these sharing sessions and reciprocal workshop aspire to cultivate a deeper appreciation of diverse legal frameworks through insightful discussions on the doctrinal differences found in the company laws of the two jurisdictions.
