Description

MAS in its media release stated that “the introduction of the Variable Capital Company (VCC) structure will position Singapore to become a key fund domiciliation hub, and strengthen Singapore’s position as a full-service international fund management centre”. This talk unpacks what the VCC is all about and how that might affect the commercial practice of fund managers. This talk will also discuss the legislative changes to the company charge registration system relating to liens over sub-freights as well as the nature of fixed and floating charges in general in light of recent Singapore cases.

About The Speaker
LOW Kah Keong is the Head of the Asset Management & Funds Practice and is a Partner in the Corporate/Mergers & Acquisitions Practice. His main areas of practice are mergers and acquisitions, corporate finance, asset management and collective investment schemes. In the arena of asset management, Kah Keong has acted for sponsors and fund managers of private equity funds, real estate funds, venture capital funds, hedge funds and regulated collective investment schemes. In his practice, Kah Keong has also advised sovereign wealth funds and insurance companies in their capacity as limited partners. Clients that Kah Keong has represented include City Developments Limited, Keppel Corporation, KKR, L Catterton, Morgan Stanley Investment Management, Temasek Holdings and TPG. Kah Keong is recommended as a leading practitioner for his work in Investment Funds and Corporate /Mergers & Acquisitions in legal publications such as Chambers Asia-Pacific, Chambers Global, The Legal 500: Asia Pacific, IFLR1000, Expert Guides, Best Lawyers, Asialaw Profiles and Who’s Who Legal. Kah Keong is admitted to the Singapore Bar and to the Roll of Solicitors of England & Wales.
Hans has taught at the Faculty of Law, NUS, since 1990, and was co-Director of the Centre for Banking and Finance Law. He has published widely in international and local journals, and has written or co-written books on company law, securities regulation and trust law. He is also a contributor to Halsbury’s Laws of Singapore on contract law and to Palmer’s Company Law (Geoffrey Morse ed). He was previously seconded to the Monetary Authority of Singapore and the Ministry of Law. He is presently serving on the Securities Industry Council, is Deputy Chairman of the SGX Listing Advisory Committee, and formerly a consultant with Linklaters Singapore and WongPartnership LLP. He has been a visiting professor at National Taiwan University, Auckland and Shanghai’s ECUPL and a visiting scholar at Stanford and Melbourne. He recently delivered public lectures at the law schools of NTU, Tsinghua and Zhejiang.
