Description

On 1st September 2023, the National People’s Congress Standing Committee made the Third Draft Amendment to the Company Law of the People’s Republic of China available for public comment. The proposed reforms were developed over five years and aim to enhance the country’s business environment by incorporating foreign institutions and optimising modern corporate law. Revisions have been made to approximately one third of the provisions of the 2005 Company Law, which have prompted intense discussions on crucial aspects of corporate governance, corporate finance, creditor protection and directors’ responsibilities.

The seminar will examine key elements and significant revisions in the suggested reforms. The seminar will also analyze the legislative history of the Company Law to determine how the amendment addresses current challenges in China’s business practice and predicts probable impacts.

ABOUT THE SPEAKER

Zhou Chun is an associate professor at Zhejiang University Guanghua Law School. She studied law at Peking University Yuanpei Pilot Program and obtained a Ph. D in law from Peking University Law School. She also holds an LL. M degree from Columbia Law School, where she was granted the James Kent Scholar award.

Chun’s research interests revolve around business law. She has published extensively in the fields of corporate law, securities law and financial regulations, which included articles in leading Chinese law reviews and chapters of books. Her monograph Principles of Fiduciary Law in the Modern Commercial World was published by Peking University Press in 2021. Funding for her research projects was provided by multiple organizations, including the PRC Ministry of Education, Municipal Government of Zhejiang Province and China’s Asset Management Association. She serves as a member of the China Commercial Law Society, the Institute of Securities Law and the Association of Law Journals of China Law Society.

Chun delivers courses on Commercial Law and Corporations, Advanced Corporate Law, and Comparative Corporate Law to domestic and international students (taught in English) at Zhejiang University. She has provided corporate law training to judges, lawyers, and legal counsels in China. Additionally, she has received teaching excellence awards on several occasions from Guanghua Law School and Zhejiang University.
