China’s Company Law underwent a landmark revision in 2023, representing the most comprehensive overhaul since the law’s original enactment in 1993. This seminar examines the key innovations and developments introduced by the revised Company Law and its accompanying judicial interpretations, situating them within the broader context of China’s evolving corporate governance landscape in the new era.
The seminar explores several major themes. First, it analyses the new concepts and guiding principles underpinning the revision, including the emphasis on modernising the corporate governance system, strengthening shareholder and creditor protection, and enhancing corporate social responsibility. Second, it examines the most significant substantive reforms, covering areas such as the registered capital subscription system and its new time limits, the enhanced duties and liabilities of directors and senior management, the expanded rights of minority shareholders, the simplified corporate structures for small enterprises, and the strengthened creditor protection mechanisms. Third, it discusses the role of the Supreme People’s Court’s judicial interpretations in clarifying, supplementing, and operationalising the revised provisions, and their practical implications for corporate governance and commercial practice.
The seminar aims to provide participants with a thorough understanding of the legislative intent, doctrinal innovations, and practical impact of the 2023 Company Law and its judicial interpretations, offering insights for scholars, legal practitioners, and business professionals engaged with China’s corporate and commercial law.
2023年《公司法》修订是自1993年该法颁布以来最为全面和深刻的一次改革。本讲座将深入解析新修订《公司法》及其配套司法解释的核心创新与发展,并将其置于新时代中国公司治理变革的宏观背景下加以审视。
本讲座围绕以下几大主题展开。首先,分析本次修订所秉持的新理念和指导原则,包括推进公司治理体系现代化、加强股东和债权人保护,以及提升企业社会责任。其次,深入探讨最为重要的实质性改革内容,涵盖注册资本认缴制及其新增的出资期限规定、董事及高级管理人员义务与责任的强化、中小股东权利的扩展、小型企业公司组织形式的简化,以及债权人保护机制的完善等。再次,讨论最高人民法院司法解释在明确、补充和落实修订条文方面所发挥的作用及其对公司治理与商业实践的现实影响。
本讲座旨在帮助与会者全面理解2023年《公司法》及其司法解释的立法意图、制度创新与实践影响,为从事中国公司法与商法研究的学者、法律实务工作者及商业人士提供有价值的启示与参考。
BIO
Professor Zhu Ciyun is one of China’s foremost authorities on company law. As Professor at the School of Law, Tsinghua University, she continues to teach the graduate course Theory and Practice of Company Law. She serves as Honorary Director of the Commercial Law Research Center at Tsinghua University and Director of the Academic Committee of the Commercial Law Research Association of the China Law Society, having served as its Executive Vice President. She is also President of the Securities Law Research Association of the Shenzhen Law Society.
Professor Zhu has played a central role in shaping China’s company law framework. As a member of the expert group for the revision of China’s Company Law, she directly participated in both the 2005 and 2023 landmark revisions. She has contributed extensively to discussions on judicial interpretations of the Company Law by the Supreme People’s Court and served as a Specially Invited Consultant of the Supreme People’s Court for five years. She has also participated in deliberations on administrative laws and regulations of various ministries and commissions.
Her research focuses on commercial law, with particularly deep expertise in company law, corporate governance, corporate capital systems, and piercing the corporate veil. She has published over one hundred papers in China’s most prestigious law journals, including Social Sciences in China, China Legal Science, and Chinese Journal of Law, and authored several influential monographs including A Study on the Doctrine of Piercing the Corporate Veil and Theory and Practice of Piercing the Corporate Veil.
Her numerous awards include the China Law Society Outstanding Legal Achievement Award and the Guangdong Province Outstanding Achievement Award in Social Sciences.
朱慈蕴教授是中国公司法领域最具影响力的学者之一。清华大学法学院教授,讲授《公司法理论与实践》,同时担任清华大学商法研究中心名誉主任、中国法学会商法学研究会学术委员会主任(曾任常务副会长)及深圳法学会证券法研究会会长。
朱慈蕴教授在中国公司法的立法进程中发挥了核心作用。她曾两度作为公司法修改专家组成员,直接参与2005年及2023年两次里程碑式的公司法修订工作,并多次参加最高人民法院公司法司法解释及各部委行政法律法规的讨论,还曾连续五年担任最高人民法院特邀咨询员。
其研究聚焦于商法学,尤以公司法、公司治理、公司资本制度及公司法人格否认等领域见长。先后在《中国社会科学》《中国法学》《法学研究》等顶级法学期刊发表论文百余篇,出版《公司法人格否认法理研究》《公司法人格否认的理论与实践》等多部重要专著。
所获奖励包括中国法学优秀成果奖、广东省社会科学优秀成果奖等多项荣誉。
